This case study is about two corporations, which have decided to merge. The technology company (TC) has bought the media-cable company (MCC) to broaden the possibilities of bandwidth and cable technology. The media cable company is interested in using TC’s internet access as a new communications tool.

TC Company History and Corporate Culture
TC has been around for fifteen years. It is a Northern Virginia internet company with lots of young technology upstarts. The company has a history of fast growth more than 25% a year and growing. They have several million internet users and are expected to capture more of their market share. Thus, the future looks rosy for TC, as long as the internet keeps growing and developing different uses.

TC has a very laid back culture with casual dress, decentralized management style and lots of employee perks, which include stock options, company picnics, free sodas, gourmet food in the cafeteria, limo rides for company executives and company merchandise that sports the company logo.

MCC Company History
MCC has been around for more than forty-five years. It is a well-established Blue-Chip Fortune 100 Company. It has had consistent growth –15% annually, somewhat through acquisitions of other companies. Its corporate headquarters is New York City. It is a button-down shirt dress company, with a centralized management style, perks are only for the very top executives including stock options and it utilizes a lot of contract employees. These individuals do not receive any company benefits.

Consultant’s Charge

You have been hired by these two company CEOs to bring together the two corporate cultures into one. You have to recommend to these CEOs options for how to deal with the challenging HR issues: compensation, contractors, cultures, management styles, stock options, corporate locations, logos etc. Your instructions from the two CEOs are that you have access to their staffs and that there needs to be some caution in regards to the cost of the over-all plan for the merger of these two corporations.

1. Identify and then analyze the major human resource issues in this case study.
2. What plan would you offer on these key HR issues to resolve the two different corporation issues?
3. What steps would you recommend that the CEOs take to merge these two cultures?
4. What would the new culture –corporation look like? Describe it in detail by discussing the HR outcomes for the new corporation and the impact on the employees, contractors, new hires, etc. of both corporations.
